Excellent choix !<\/p>\n<p>Mais attention: les Fran\u00e7ais voulant s\u2019installer aux USA et faire du commerce ( avec un visa E-2 notamment ) commettent en g\u00e9n\u00e9ral <strong>l\u2019erreur fatale de consid\u00e9rer que les USA ne sont rien d\u2019autre que la France <i>en anglais<\/i><\/strong>. Il est normal de s\u2019exporter avec sa culture, notamment l\u00e9gale, et nous <i>savons<\/i> par notre exp\u00e9rience que le droit fran\u00e7ais offre une protection consid\u00e9rable au locataire de murs commerciaux, et cela nous semble normal. Et pour cette raison, beaucoup de Fran\u00e7ais ont le r\u00e9flexe de n\u00e9gliger de s\u2019enqu\u00e9rir du bail commercial qui va accompagner leur business.<\/p>\n<p>Or, vous devez savoir que <b>le droit Floridien offre une protection l\u00e9gale au locataire commercial (que l\u2019on appelle \u201ctenant\u201d ou \u201clessee\u201d) extr\u00eamement limit\u00e9e, aux articles 83.001-83.251 des Florida Statutes (2017). Il n\u2019y a pas de dispositions, comme en droit Fran\u00e7ais, imposant une dur\u00e9e minimum \u00e0 un bail commercial ou bien donnant droit \u00e0 son renouvellement \u00e0 expiration. Il n\u2019y a pas non plus de disposition r\u00e9gissant la mani\u00e8re dont le loyer peut \u00eatre augment\u00e9. <\/b>La libert\u00e9 contractuelle est immense en la mati\u00e8re et le droit Floridien consid\u00e8re que si vous pr\u00e9tendez faire du business, eh bien soyez un(e) business(wo)man et n\u00e9gociez!<\/p>\n<p>Lorsque vous envisagez de demander un visa E-2, vous avez deux possibilit\u00e9s: la cr\u00e9ation ou le rachat d\u2019un commerce existant. Dans les deux cas, l\u2019existence d\u2019un point d\u2019ancrage physique (= un local commercial) de votre futur business est primordiale.<\/p>\n<p>Dans le cadre d\u2019une cr\u00e9ation, vous \u00eates parmi les plus chanceux car vous allez en g\u00e9n\u00e9ral trouver un local inoccup\u00e9 et pouvoir n\u00e9gocier votre contrat de bail commercial. <strong>Mais quant est-il du rachat de business?<\/strong><\/p>\n<p>Ici encore, il y a deux possibilit\u00e9s: soit le vendeur du fonds vous transmet, avec l\u2019accord du propri\u00e9taire des murs (que l\u2019on appelle \u201clandlord\u201d ou \u201clessor\u201d), son bail existant (on dit que le bail vous est \u201cassigned\u201d), soit cette transmission n\u2019est pas autoris\u00e9e par le propri\u00e9taire, et vous devrez n\u00e9gocier avec lui un nouveau bail, et tr\u00e8s bien pour vous.<\/p>\n<p>Mais pour le cas o\u00f9 un bail commercial va vous \u00eatre <i>assigned<\/i>, c\u2019est-\u00e0-dire transmis en m\u00eame temps que le business, c\u2019est l\u00e0 o\u00f9 vous devez \u00eatre tr\u00e8s vigilant.<\/p>\n<h3>D\u00e9j\u00e0, en ce qui concerne la premi\u00e8re \u00e9tape: l\u2019obtention du visa.<\/h3>\n<p>Certains avocats d\u2019immigration exigeront de vous &#8211; et ils auront raison &#8211; que vous leur apportiez un bail d\u2019une dur\u00e9e (ou une dur\u00e9e potentielle) d\u2019au moins 5 ans, c\u2019est-\u00e0-dire correspondant \u00e0 la dur\u00e9e maximale du premier visa E-2 \u00e9mis par l\u2019ambassade am\u00e9ricaine pour les Fran\u00e7ais. Cela n\u2019est pas requis par la loi, mais c\u2019est largement pr\u00e9f\u00e9rable et cela montre un engagement s\u00e9rieux de venir s\u2019installer et faire du commerce aux USA. Donc, attention \u00e0 la dur\u00e9e du bail restante en cas d\u2019<i>assignment<\/i>.<\/p>\n<h3>Mais votre visa E-2, une fois obtenu, va prendre vie.<\/h3>\n<p>Il va falloir maintenant g\u00e9rer le business, et le faire grandir plus ou moins conform\u00e9ment \u00e0 votre business plan si vous voulez pouvoir le renouveler dans 5 ans (et vous le voudrez\u2026).\u00a0Le probl\u00e8me \u00e9tant que, si votre bail commercial vous a \u00e9t\u00e9 <i>assigned<\/i>, <strong>vous allez \u00eatre tenus \u00e0 des obligations n\u00e9goci\u00e9es par quelqu\u2019un d\u2019autre.<\/strong> Si certaines clauses sont \u201canodines\u201d pour un citoyen am\u00e9ricain ou un r\u00e9sident permanent (qui eux, ne seront pas un jour soumis au contr\u00f4le de la bonne marche de leur business par l\u2019immigration am\u00e9ricaine), ces m\u00eames clauses peuvent avoir un effet catastrophique en ce qui vous concerne, d\u00e9tenteur d\u2019un visa E-2. <strong>En effet, certaines clauses peuvent tout simplement freiner consid\u00e9rablement votre expansion \u00e9conomique et en cons\u00e9quence mettre en danger votre visa E-2<\/strong> en vous emp\u00eachant de qualifier au moment o\u00f9 il faudra le renouveler.<\/p>\n<p>Quelques exemples, <b>la liste est non exhaustive:<\/b><\/p>\n<ul>\n<li>clauses relatives \u00e0 l\u2019<strong>augmentation du loyer<\/strong>: certains propri\u00e9taires sont raisonnables, et pr\u00e9voient une augmentation de loyer en g\u00e9n\u00e9ral de 3 ou 3,5% annuellement. D\u2019autres le sont moins, l\u2019augmentation est pr\u00e9vue deux fois par an ou plus, quand il n\u2019y a pas un suppl\u00e9ment de loyer \u00e0 payer d\u00e8s que vous atteignez un certain chiffre d\u2019affaire! Tr\u00e8s difficile de d\u00e9gager un b\u00e9n\u00e9fice net et croissant dans ces conditions.<\/li>\n<li>clauses de <strong><i>relocation<\/i><\/strong>: ce type de clause est commune lorsque le business se trouve dans le cadre d\u2019un complexe commercial du type <i>mall <\/i>qui appartient \u00e0 un seul et m\u00eame propri\u00e9taire. Le propri\u00e9taire du <i>mall <\/i>se r\u00e9serve le droit, \u00e0 discr\u00e9tion, de vous d\u00e9placer. Certes, avec le m\u00eame loyer et la m\u00eame surface, mais <i>ailleurs<\/i>. Exemple vu \u00e0 mon Cabinet r\u00e9cemment: un commerce de restauration \u00e9tait situ\u00e9 au rez-de-chauss\u00e9e d\u2019un mall de 3 \u00e9tages, face \u00e0 une plage. Le propri\u00e9taire avait le droit de reloger le locataire, notamment au 3\u00e8me \u00e9tage, c\u00f4t\u00e9 rue, l\u00e0 o\u00f9 le passage \u00e9tait bien moindre. Autant mettre la clef sous la porte de suite\u2026<\/li>\n<li>clauses <strong>limitant votre activit\u00e9<\/strong>: ce type de clause est commune \u00e9galement lorsque le business se trouve dans un <i>mall. <\/i>Elles ont pour objet d\u2019\u00e9viter la concurrence entre les businesses du m\u00eame secteur g\u00e9ographique, et de renforcer la sp\u00e9cificit\u00e9 commerciale de chacun. C\u2019est une bonne chose, sauf que ce type de clause peut tout simplement vous emp\u00eacher de diversifier vos produits et en cons\u00e9quence, d\u2019accroitre vos revenus.<\/li>\n<\/ul>\n<p><strong>En conclusion: le bail n\u2019est pas accessoire \u00e0 votre business, il est essentiel.<\/strong> Ne n\u00e9gligez pas de vous en enqu\u00e9rir d\u00e8s que vous trouvez un business \u00e0 racheter qui vous int\u00e9resse et <strong>soumettez-le au pr\u00e9alable \u00e0 un avocat sp\u00e9cialis\u00e9<\/strong>.
